These Terms of Use (“Terms”) govern access to and use of the Medsahra platform, website, applications, communication systems, marketplace functionality, subscription services, promotional tools, AI-powered systems, software, content, APIs, and related digital infrastructure operated by Medsahra (“Platform”, “Company”, “we”, “our”, or “us”).
By accessing, browsing, registering for, publishing content on, communicating through, subscribing to, or otherwise using the Platform, you (“User”, “you”, or “your”) acknowledge and agree to be legally bound by these Terms and all related Platform policies and legal documents. If you do not agree to these Terms, you must immediately discontinue use of the Platform.
These Terms form the primary governing agreement between the Platform and all users and supplement all other Platform legal documents, including the Seller Terms, Subscription & Payment Terms, Privacy Policy, Cookie Policy, Product Features & Service Definitions, healthcare compliance notices, moderation procedures, promotional rules, operational policies, and community standards.
Nothing in these Terms excludes, restricts, or limits any rights, remedies, guarantees, protections, or obligations that cannot lawfully be excluded or limited under applicable law, including mandatory consumer rights available under the laws of the United Arab Emirates.
If an Arabic-language version of these Terms is published, the Arabic-language version shall prevail to the extent required under applicable law. Any non-Arabic translation is provided for convenience only unless otherwise required by law.
1. Platform Role
The Platform operates solely as a digital publication, communication, advertising, directory-style listing, and marketplace infrastructure service that enables users to publish listings, browse listings, communicate with one another, advertise products or services, access subscription functionality, and access promotional and visibility-related tools.
The Platform does not own listed products, services, businesses, or inventory and does not act as a broker, distributor, reseller, dealer, healthcare provider, customs broker, escrow provider, financial intermediary, insurer, or transaction intermediary. The Platform does not participate in negotiations between users, process payments between users, facilitate or complete transactions, transfer title or ownership, take possession of inventory or products, inspect products or businesses, control logistics or customs clearance, or guarantee sales, inquiries, commercial outcomes, or business opportunities.
All negotiations, transactions, due diligence, contracts, imports, exports, deliveries, inspections, payments, and commercial dealings occur solely between users. The Platform is not a party to transactions between users and assumes no responsibility for payment collection, transaction completion, customs clearance, healthcare compliance, product condition, delivery obligations, business performance, or regulatory approvals.
No agency, employment relationship, partnership, fiduciary relationship, joint venture, franchise relationship, or representative relationship is created between the Platform and any user.
2. Eligibility & Accounts
By using the Platform, you represent and warrant that you possess full legal capacity and authority to enter into binding agreements, that all information submitted to the Platform is accurate, complete, current, and not misleading, and that your use of the Platform complies with all applicable laws and regulations.
If you use the Platform on behalf of a company or organization, you represent and warrant that you possess authority to bind that entity to these Terms.
Users remain solely responsible for safeguarding credentials, maintaining account confidentiality, restricting unauthorized access, maintaining device and system security, and all activity conducted through their accounts or systems.
Organizational account holders remain responsible for all activity conducted by employees, agents, contractors, representatives, affiliates, delegated users, or authorized personnel operating under organizational credentials.
The Platform may presume that actions conducted through authenticated accounts were authorized by the account holder.
The Platform reserves the right to suspend, restrict, reject, terminate, or investigate accounts where reasonably necessary for operational integrity, legal compliance, fraud prevention, healthcare compliance review, sanctions compliance, intellectual-property enforcement, security concerns, or policy enforcement.
3. Healthcare & Regulatory Disclaimer
The Platform may contain listings, advertisements, communications, and informational content relating to healthcare services, medical devices, healthcare equipment, healthcare businesses, logistics services, customs-related services, regulated products, and healthcare-sector opportunities.
The Platform operates solely as a publication, communication, advertising, and marketplace infrastructure service. The Platform does not approve healthcare products, certify medical devices, verify patient safety, validate healthcare licensing, confirm customs authorization, verify import legality, validate regulatory registrations, guarantee healthcare compliance, or act as a healthcare provider, medical distributor, customs broker, procurement advisor, regulatory advisor, or MOHAP agent.
Nothing on the Platform constitutes medical advice, healthcare advice, legal advice, financial advice, tax advice, customs advice, procurement advice, investment advice, engineering advice, regulatory approval, healthcare endorsement, technical certification, patient-safety assurance, or professional consulting.
Users remain solely responsible for conducting independent legal, regulatory, healthcare, financial, technical, operational, and commercial due diligence before entering into negotiations or transactions.
Users publishing healthcare-related content remain solely responsible for ensuring compliance with all applicable healthcare laws, medical-device regulations, healthcare advertising restrictions, customs requirements, import/export laws, licensing obligations, marketing authorization requirements, and applicable UAE regulations.
4. User Conduct
Users may not engage in fraudulent conduct, deceptive practices, impersonation, spam activity, phishing, unlawful marketing activity, scraping of Platform data, unauthorized harvesting of user information, circumvention of moderation systems, manipulation of visibility systems or rankings, interference with Platform operations, publication of unlawful healthcare claims, publication of counterfeit or unauthorized products, publication of deceptive or misleading content, distribution of malicious code, or violations of intellectual-property, confidentiality, privacy, sanctions, export-control, customs, anti-money-laundering, or financial-crime laws.
Users may not use automated systems, bots, crawlers, scraping tools, scripts, or unauthorized API access methods without prior written authorization from the Platform.
Users may not upload confidential medical records, protected health information, unlawfully obtained personal data, or confidential third-party information unless legally authorized to do so.
The Platform reserves broad discretion to investigate complaints, suspicious conduct, operational abuse, fraud risks, healthcare-related concerns, sanctions concerns, intellectual-property complaints, cybersecurity risks, or policy violations.
5. Listings & User Content
Users remain solely responsible for all listings, descriptions, specifications, communications, certifications, photographs, videos, advertisements, pricing information, promotional materials, healthcare-related claims, and other content published or transmitted through the Platform (“User Content”).
User Content must be lawful, accurate, non-misleading, and compliant with applicable law. Users may not publish unlawful healthcare claims, deceptive information, counterfeit products, unsafe products, unlawful imports, fraudulent listings, sanctioned products, unauthorized healthcare products, or content that infringes intellectual-property rights or violates confidentiality obligations.
The Platform may reject, suspend, remove, restrict, edit, de-prioritize, limit visibility of, or refuse any User Content where reasonably necessary for moderation, fraud prevention, legal compliance, sanctions compliance, healthcare compliance review, intellectual-property enforcement, operational integrity, regulatory cooperation, cybersecurity protection, or security purposes.
The Platform has no obligation to actively monitor all listings, communications, or User Content and does not guarantee detection, removal, correction, or prevention of unlawful, misleading, fraudulent, harmful, or non-compliant content.
The Platform may preserve records, metadata, communications, moderation records, account activity, listing history, logs, and operational records where reasonably necessary for legal compliance, investigations, fraud prevention, dispute handling, security purposes, regulatory cooperation, or operational integrity.
The Platform may delete or remove records, listings, communications, metadata, or historical content in accordance with operational, legal, technical, retention, or compliance requirements.
6. Intellectual Property
The Platform and all related systems, software, interfaces, designs, branding, trademarks, algorithms, databases, AI systems, operational workflows, and proprietary materials remain the exclusive property of the Platform or its licensors.
Users receive a limited, revocable, non-exclusive, non-transferable license to access and use the Platform solely in accordance with these Terms.
Users may not reproduce, reverse engineer, commercially exploit, redistribute, interfere with, or create derivative works from Platform systems or proprietary materials except where expressly authorized in writing.
By publishing User Content through the Platform, users grant the Platform a worldwide, non-exclusive, royalty-free, sublicensable license to host, reproduce, display, process, analyze, index, distribute, adapt, promote, and use such content for purposes relating to Platform operations, moderation, fraud prevention, analytics, AI-powered systems, recommendation systems, search functionality, promotional activity, and Platform improvement.
The Platform reserves the right to remove allegedly infringing content and suspend or terminate repeat infringers.
The Platform may seek injunctive relief or other equitable remedies where reasonably necessary to prevent unauthorized access, intellectual-property misuse, scraping activity, system interference, or misuse of proprietary Platform systems.
7. Promotional Services & Visibility Systems
The Platform may offer promotional services, enhanced visibility tools, recommendation systems, badges, highlighted listings, and advertising functionality intended to increase potential exposure within the Platform ecosystem.
Promotional services are advertising and visibility tools only. The Platform does not guarantee impressions, clicks, inquiries, visibility duration, ranking stability, lead generation, sales activity, transaction completion, commercial outcomes, or business opportunities.
Visibility systems may depend on algorithms, personalization systems, moderation outcomes, user behavior, healthcare-related restrictions, operational limitations, technical constraints, category competition, and machine-learning systems.
The Platform reserves broad discretion regarding visibility logic, ranking systems, recommendation systems, catalog organization, interface layouts, search-result positioning, promotional mechanics, and algorithmic methodologies.
Users acquire no ownership rights, exclusivity rights, guaranteed placement rights, territorial rights, or permanent visibility rights relating to listings, rankings, badges, recommendation systems, or promotional systems.
Any User utilizing promotional services, visibility tools, or "bump-up" features acknowledges that such activity constitutes "Digital Advertising" under UAE Law. Users represent and warrant that they hold a valid Advertiser Permit (Mu’lin) issued by the UAE Media Council. Medsahra reserves the right to immediately disable promotional features and remove associated content for any account that fails to provide a verifiable permit number, without any obligation for a refund.
8. AI-Powered Systems & Experimental Features
The Platform may utilize AI-powered systems, automated moderation systems, automated categorization systems, recommendation systems, spam-detection systems, fraud-detection systems, and automated visibility systems.
AI-generated outputs and automated systems may contain inaccuracies, omissions, false positives, outdated information, interruptions, operational errors, incomplete analysis, or inconsistent outcomes.
AI-generated outputs do not constitute medical advice, legal advice, healthcare advice, procurement advice, investment advice, technical certification, regulatory approval, or professional consulting.
Users remain solely responsible for independently reviewing and verifying all AI-generated outputs and automated decisions associated with their listings, accounts, or Platform activity.
The Platform may introduce beta, experimental, pilot, preview, or pre-release features that may be incomplete, unstable, modified, interrupted, or discontinued at any time without liability or prior notice.
All AI-powered comparison tools, automated summaries, and smart-search features are provided for administrative, logistical, and commercial informational purposes only. Users are strictly prohibited from using AI-generated outputs for clinical diagnosis, patient treatment planning, or determining the medical efficacy of equipment. Medsahra is not a "Medical Decision Support System" as defined by UAE health regulations, and use of the Platform for clinical decision-making is at the User's sole risk.
9. Fees, Subscriptions & Taxes
Certain Platform features, subscription plans, promotional systems, badges, visibility tools, or services may require payment of fees.
All billing obligations, renewals, refunds, payment obligations, taxes, subscription renewals, promotional purchases, and related commercial terms are governed by the Subscription & Payment Terms.
Users remain solely responsible for VAT obligations, customs duties, import/export charges, withholding taxes, banking fees, regulatory fees, financial compliance obligations, and compliance with anti-money-laundering and financial-crime laws.
Failure to pay applicable fees may result in suspension or termination of access to paid functionality.
10. Trade Restrictions & Compliance
Users may not use the Platform in violation of applicable sanctions laws, export-control laws, customs restrictions, trade embargoes, anti-boycott laws, import/export regulations, or restricted-party regulations.
Users represent and warrant that neither they, nor any products, services, businesses, counterparties, or transactions associated with their Platform activity are subject to applicable sanctions restrictions or prohibited trade restrictions.
Users remain solely responsible for ensuring that all products, services, technology, equipment, software, or commercial activity associated with their Platform activity may lawfully be marketed, imported, exported, distributed, transferred, or sold under applicable law.
11. Third-Party Services & External Links
The Platform may contain links to third-party websites, external services, third-party integrations, advertisements, or external communications that are not owned or controlled by the Platform.
The Platform does not endorse, control, monitor, verify, or assume responsibility for third-party websites, services, products, advertisements, integrations, or external content.
Users access third-party services and external websites entirely at their own risk. The Platform is not responsible for off-platform negotiations, external transactions, third-party conduct, external communications, or losses arising from third-party services or websites.
12. Privacy & Data Processing
Collection, processing, storage, disclosure, retention, and use of personal data are governed by the Privacy Policy and applicable data-protection laws.
Users remain solely responsible for ensuring that any personal data, healthcare-related data, or confidential information uploaded to the Platform is lawfully collected, processed, disclosed, transferred, and published.
13. Regulatory Cooperation & Investigations
The Platform may cooperate with regulators, healthcare authorities, customs authorities, tax authorities, courts, law-enforcement authorities, governmental agencies, or regulatory bodies where reasonably necessary to comply with applicable law, respond to government requests, investigate unlawful conduct, address healthcare-related concerns, address customs or import/export issues, protect Platform integrity, protect users, or enforce Platform policies.
The Platform may report suspected unlawful conduct, healthcare violations, fraud risks, sanctions concerns, customs violations, intellectual-property violations, cybersecurity threats, or regulatory concerns to appropriate authorities without prior notice where reasonably necessary under applicable law or regulatory obligations.
The Platform may temporarily freeze listings, suspend visibility, pause promotional functionality, restrict communications, disable accounts, limit operational functionality, or preserve evidence while investigations, moderation reviews, healthcare compliance reviews, fraud investigations, legal reviews, cybersecurity reviews, or regulatory inquiries are ongoing.
The Platform has no obligation to mediate disputes between users or resolve commercial disagreements, transaction disputes, payment disputes, healthcare disputes, or delivery disputes between users.
14. Disclaimers
All Platform services, listings, visibility systems, promotional systems, AI-generated outputs, badges, communication systems, support services, APIs, integrations, and operational functionality are provided on an “as available” and “as is” basis to the maximum extent permitted by applicable law.
To the maximum extent permitted by applicable law, the Platform disclaims all warranties, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted availability, operational continuity, or compatibility with third-party systems.
The Platform does not guarantee uninterrupted availability, transaction success, listing performance, commercial outcomes, visibility consistency, data preservation, uninterrupted communications, buyer engagement, healthcare suitability, regulatory compliance of users, identity or authenticity of users, or operational continuity.
The Platform is not responsible for disputes between users, failed negotiations, delivery failures, customs delays, payment defaults, healthcare disputes, regulatory enforcement against users, business interruption, data loss, deletion of records, third-party service interruptions, external websites, or reliance on badges, rankings, AI-generated outputs, or promotional systems.
15. Limitation of Liability
To the maximum extent permitted by applicable law, the aggregate liability of the Platform, its affiliates, directors, officers, employees, contractors, licensors, service providers, and representatives arising out of or relating to the Platform or these Terms shall not exceed the total amount actually paid by the applicable user to the Platform.
To the maximum extent permitted by applicable law, the Platform shall not be liable for indirect, incidental, consequential, punitive, exemplary, special, or lost-profit damages, including loss of business, reputational harm, business interruption, data loss, anticipated revenue losses, or lost commercial opportunities.
Nothing in these Terms limits liability that cannot lawfully be excluded under applicable law, including liability arising from fraud, willful misconduct, or gross negligence where such limitation is prohibited by law.
16. Indemnification
To the maximum extent permitted by applicable law, users agree to defend, indemnify, and hold harmless the Platform, its affiliates, directors, officers, employees, contractors, licensors, service providers, and representatives from and against claims, liabilities, damages, investigations, penalties, losses, costs, or expenses arising from User Content, healthcare claims, listings, regulatory violations, customs violations, sanctions violations, fraudulent conduct, deceptive practices, cybersecurity incidents caused by users, transactions between users, disputes with other users, intellectual-property violations, or violations of these Terms or applicable law.
17. Suspension, Termination & Service Changes
The Platform may suspend, restrict, limit, terminate, de-prioritize, or remove accounts, listings, visibility, badges, communications, subscriptions, promotional services, APIs, integrations, or operational functionality where reasonably necessary for legal compliance, healthcare compliance review, fraud prevention, sanctions compliance, intellectual-property enforcement, operational integrity, cybersecurity protection, policy enforcement, regulatory cooperation, payment failures, or suspected misconduct.
Termination or suspension may occur with or without prior notice where reasonably necessary under the circumstances.
The Platform may modify, discontinue, suspend, replace, reorganize, or terminate categories, business lines, visibility systems, APIs, promotional systems, subscription plans, features, interfaces, operational functionality, or marketplace segments at any time without guaranteeing continuity or backward compatibility.
18. Force Majeure
The Platform shall not be liable for delays, interruptions, failures, outages, or inability to perform resulting from events beyond its reasonable control, including cybersecurity incidents, infrastructure failures, telecommunications failures, governmental actions, regulatory restrictions, labor disputes, pandemics, natural disasters, customs disruptions, sanctions-related restrictions, third-party service failures, hosting failures, utility failures, internet disruptions, or force majeure events.
19. Electronic Communications
Users acknowledge and agree that electronic communications, click-wrap agreements, electronic records, digital notices, electronic disclosures, digital invoices, account notifications, and electronic acceptances may satisfy legal communication, notice, signature, and recordkeeping requirements under applicable law.
The Platform may communicate with users electronically through email, messaging systems, account notifications, website notices, or other digital communication methods.
20. Governing Law & Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the Dubai International Financial Centre (DIFC), without regard to conflict-of-law principles.
Any dispute, controversy, or claim arising out of or relating to these Terms, the Platform, or the use of the Platform shall be subject to the exclusive jurisdiction of the courts of the Dubai International Financial Centre (DIFC), unless otherwise required under applicable law.
21. Miscellaneous
The Platform may assign, transfer, subcontract, or delegate its rights and obligations under these Terms without restriction. Users may not assign or transfer their rights or obligations without prior written consent from the Platform.
If any provision of these Terms is found invalid or unenforceable, the remaining provisions shall remain in full force and effect.
Failure by the Platform to enforce any provision of these Terms shall not constitute a waiver of any right or provision.
These Terms, together with all referenced Platform legal documents and policies, constitute the entire agreement between the user and the Platform and supersede prior understandings, communications, representations, or agreements relating to the Platform.
Any claim arising out of or relating to the Platform or these Terms must be brought within one (1) year after the event giving rise to the claim, to the maximum extent permitted by applicable law.
Any provisions of these Terms that by their nature should survive suspension or termination shall survive, including provisions relating to indemnification, intellectual property, liability limitations, dispute resolution, regulatory cooperation, investigation rights, payment obligations, and record preservation.
