User Terms

These User Terms (“User Terms”) govern the access to and use of the Medsahra platform (“Platform”, “Company”, “we”, “our”, or “us”) by any business, healthcare entity, distributor, consultant, service provider, or organization that publishes, advertises, promotes, markets, lists, or offers products, services, healthcare-related products, medical equipment, businesses, advisory services, logistics services, customs-related services, or other commercial offerings through the Platform (“User”, “you”, or “your”).
These User Terms form an integral part of, and should be read together with, the Platform Terms of Use, Subscription & Payment Terms, Product Features & Service Definitions, Privacy Policy, Cookie Policy, and all additional Platform policies, moderation procedures, operational rules, notices, disclosures, and compliance requirements published from time to time. By publishing, maintaining, promoting, or operating any listing or User account on the Platform, Users acknowledge and agree to these User Terms. Nothing in these User Terms excludes, restricts, or limits any rights or obligations that cannot lawfully be excluded or limited under applicable law. If an Arabic-language version of these User Terms is published, the Arabic-language version shall prevail to the extent required by applicable law.
1. Platform Role & Marketplace Structure
The Platform operates solely as a digital publication, communication, advertising, directory-style listing, and marketplace infrastructure service.
The Platform enables Users to:
- publish listings;
- advertise products or services;
- communicate with users;
- access visibility tools;
- access subscription functionality;
- receive inquiries from prospective buyers or counterparties.
The Platform does not:
- own listed products, services, or businesses;
- act as a broker, dealer, distributor, reseller, healthcare provider, customs broker, financial intermediary, escrow provider, or transaction intermediary;
- participate in negotiations between users;
- facilitate or complete transactions;
- process payments between users;
- take possession of products, businesses, or inventory;
- transfer title or ownership;
- inspect products, businesses, or facilities;
- control logistics, warehousing, customs clearance, delivery, or shipping;
- guarantee sales, leads, inquiries, transactions, or commercial outcomes;
- independently verify all listings, claims, users, businesses, licenses, certifications, approvals, or representations;
- certify medical products, healthcare services, businesses, or regulated products;
- guarantee authenticity, legality, ownership, licensing status, healthcare compliance, safety, quality, operational legitimacy, regulatory approval, or transaction reliability.
All transactions, negotiations, due diligence, communications, contracts, payments, imports, exports, deliveries, inspections, and business dealings occur solely between users.
The Platform is not a party to transactions between users and assumes no responsibility for transaction completion, product condition, delivery, customs clearance, healthcare compliance, payment collection, or business performance.
No agency, partnership, employment relationship, fiduciary relationship, joint venture, franchise relationship, or representative relationship is created between the Platform and any User.
2. User Eligibility & Authority
By using the Platform as a User, you represent and warrant that:
- you possess full legal capacity and authority to enter into binding agreements;
- you possess all rights necessary to publish listings and conduct activities described in your listings;
- you possess all licenses, approvals, permits, registrations, authorizations, distributorship rights, reseller rights, and commercial authority required under applicable law;
- all information submitted to the Platform is accurate, current, complete, and not misleading;
- your listings and conduct comply with all applicable laws and regulations;
- you will maintain accurate and updated account information at all times.
Business entities using the Platform represent and warrant that the individual accepting these User Terms is authorized to bind the organization.
Organizational account holders remain fully responsible for all conduct, communications, listings, transactions, and activity conducted through their accounts by employees, agents, contractors, representatives, delegated users, affiliates, or authorized personnel.
By listing, advertising, promoting, marketing, or offering any product or service on the Platform, you represent and warrant that you hold and maintain all licenses, permits, registrations, approvals, authorizations, certifications, and advertising permissions required under the laws and regulations of the jurisdictions in which your products or services are advertised, offered, distributed, imported, exported, or made available. You must provide evidence of such licenses, permits, registrations, approvals, authorizations, certifications, and advertising permissions upon request and, where required by applicable law, ensure that the relevant permit, registration, or authorization number is displayed within your listing. Failure to maintain or provide evidence of the required regulatory approvals may result in the immediate suspension, restriction, or removal of listings without notice or refund.
The Platform may presume that activity conducted through an authenticated account was authorized by the account holder.
Users remain solely responsible for:
- safeguarding credentials;
- maintaining account confidentiality;
- restricting unauthorized access;
- ensuring lawful use of accounts.
3. Healthcare, Medical Device & Regulatory Compliance
Users publishing healthcare-related listings, medical-device listings, healthcare advertisements, regulated-product listings, healthcare-service listings, or healthcare-related promotional content remain solely responsible for ensuring compliance with all applicable laws, regulations, approvals, permits, healthcare advertising restrictions, licensing obligations, import/export requirements, customs laws, medical-device regulations, and healthcare compliance requirements applicable within the United Arab Emirates and any other relevant jurisdiction. Users listing products or services that require MOHAP approvals, healthcare advertising approvals, medical-device registrations under applicable law represent and warrant that they possess and will maintain all such required approvals.
Users represent and warrant that they possess and will maintain all required:
- MOHAP approvals;
- healthcare advertising approvals;
- medical-device registrations;
- marketing authorizations;
- import permits;
- export permits;
- customs authorizations;
- healthcare licenses;
- distribution authorizations;
- commercial registrations;
- regulatory approvals.
Users remain solely responsible for ensuring that all healthcare-related claims, technical specifications, advertising statements, certifications, approvals, descriptions, warranties, efficacy claims, maintenance claims, and representations are lawful, accurate, adequately substantiated, and not misleading.
Users may not publish:
- false healthcare claims;
- misleading efficacy claims;
- unsupported medical claims;
- fake certifications;
- fraudulent approvals;
- unauthorized healthcare advertisements;
- prohibited healthcare representations;
- unlawful patient-safety claims.
The Platform does not independently verify healthcare claims, technical specifications, safety claims, medical-device approvals, healthcare licensing status, maintenance claims, operational status, or regulatory registrations.
Nothing on the Platform constitutes medical advice, healthcare advice, regulatory approval, technical certification, procurement advice, patient-safety assurance, or healthcare endorsement.
Users represent and warrant that they possess and will maintain all licenses, registrations, permits, certifications, marketing authorizations, advertising approvals, import/export permissions, customs authorizations, and other regulatory approvals required under the laws and regulations of the jurisdictions in which their products or services are advertised, offered, distributed, imported, exported, or made available, including evidence of registration with any applicable governmental, regulatory, healthcare, customs, or industry authority where required.
4. Trade Restrictions, Sanctions & Export Controls
Users may not use the Platform in violation of applicable:
- sanctions laws;
- export-control laws;
- customs restrictions;
- trade embargoes;
- import/export regulations;
- anti-boycott laws;
- restricted-party regulations.
Users represent and warrant that neither they, nor any products, services, businesses, counterparties, or transactions associated with their listings are subject to applicable sanctions restrictions, prohibited trade restrictions, or export-control prohibitions.
Users remain solely responsible for ensuring that all products, services, equipment, software, technology, or commercial activity associated with their listings may lawfully be marketed, imported, exported, distributed, transferred, or sold under applicable law.
5. Listings & User Content
Users remain solely responsible for all listings, advertisements, descriptions, photographs, videos, specifications, documents, certifications, communications, warranties, pricing information, promotional materials, technical information, and other content published through the Platform (“User Content”).
User Content must:
- be accurate and not misleading;
- comply with applicable law;
- not infringe intellectual-property rights;
- not violate confidentiality obligations;
- not contain fraudulent or deceptive information;
- not contain prohibited healthcare claims;
- not contain malicious code or harmful software.
Users may not publish listings or content involving:
- counterfeit products;
- expired medical equipment;
- unlawful imports;
- sanctioned products;
- unauthorized healthcare products;
- prohibited medical claims;
- unsafe products;
- fraudulent services;
- deceptive business practices;
- unlawful activity;
- products or services prohibited under applicable law.
Users may not upload:
- patient records;
- protected health information;
- confidential medical data;
- unlawfully obtained personal data;
- confidential third-party information;
- data that violates privacy or confidentiality obligations.
The Platform may reject, suspend, remove, restrict, edit, de-prioritize, limit visibility of, or refuse any listing or User Content where reasonably necessary for moderation, fraud prevention, legal compliance, healthcare compliance review, security purposes, operational integrity, intellectual-property enforcement, or regulatory cooperation.
The Platform may preserve records, logs, communications, metadata, moderation records, listing history, account activity, and operational records where reasonably necessary for investigations, legal compliance, fraud prevention, dispute handling, security purposes, or regulatory cooperation.
The Platform may request supporting documentation relating to:
- listings;
- ownership rights;
- licenses;
- approvals;
- healthcare authorizations;
- maintenance records;
- customs documentation;
- commercial registrations;
- tax documentation;
- regulatory compliance;
- import/export permissions.
Failure to provide requested documentation within a reasonable period may result in:
- listing removal;
- visibility restrictions;
- badge revocation;
- suspension of promotional services;
- temporary account suspension;
- permanent account restrictions;
- termination of services.
6. Intellectual Property & Takedown Rights
Users represent and warrant that they possess all rights necessary to publish User Content on the Platform.
Users grant the Platform a worldwide, non-exclusive, royalty-free, sublicensable license to host, reproduce, distribute, publish, display, process, index, adapt, analyze, and use User Content for purposes relating to:
- Platform operations;
- search functionality;
- recommendation systems;
- promotional activity;
- moderation;
- fraud prevention;
- AI-powered systems;
- analytics;
- Platform improvement.
The Platform may remove, disable, restrict, or investigate allegedly infringing content, suspected counterfeit listings, or intellectual-property violations at any time.
The Platform reserves the right to suspend or terminate repeat infringers or users repeatedly associated with intellectual-property complaints.
7. User Conduct & Marketplace Integrit
Users may not:
- engage in fraudulent conduct;
- manipulate rankings or visibility systems;
- impersonate individuals or organizations;
- use automated systems to spam users;
- scrape Platform data;
- harvest user information;
- conduct phishing activity;
- circumvent moderation systems;
- interfere with Platform operations;
- engage in deceptive commercial conduct;
- artificially manipulate inquiries, engagement, or visibility metrics.
Users may not use buyer information, user information, or Platform data except as reasonably necessary for legitimate marketplace communications or lawful transaction-related purposes.
Unsolicited commercial communications, spam activity, mass outreach campaigns, or abusive marketing practices through the Platform are prohibited.
The Platform reserves broad discretion to investigate suspicious conduct, complaints, fraud risks, policy violations, spam activity, healthcare-related concerns, or operational abuse.
8. Promotional Services & Visibility Systems
The Platform may offer promotional services, enhanced visibility tools, highlighted listings, recommendation systems, badges, or advertising functionality intended to increase potential exposure within the Platform ecosystem.
Promotional services are advertising and visibility tools only.
The Platform does not guarantee:
- sales;
- inquiries;
- leads;
- engagement;
- impressions;
- visibility duration;
- ranking stability;
- search prominence;
- transaction completion;
- commercial outcomes.
Visibility systems may depend on:
- algorithms;
- moderation outcomes;
- personalization systems;
- user behavior;
- category competition;
- machine-learning systems;
- operational limitations;
- healthcare-related restrictions;
- technical constraints.
The Platform reserves broad discretion regarding search systems, ranking systems, recommendation systems, visibility logic, catalog organization, promotional mechanics, interface layouts, and algorithmic methodologies.
Users acquire no ownership rights, exclusivity rights, guaranteed placement rights, territorial rights, or permanent visibility rights relating to promotional systems or listings.
The Platform is not obligated to maintain historical ranking behavior, legacy visibility systems, historical algorithms, prior interface layouts, or historical promotional mechanics.
9. AI-Powered Systems & Automated Processing
The Platform may utilize AI-powered systems, automated moderation systems, automated categorization systems, recommendation systems, spam-detection systems, fraud-detection systems, or automated visibility systems.
AI-generated outputs and automated systems may contain inaccuracies, omissions, false positives, incomplete analysis, outdated information, interruptions, inconsistent outcomes, or operational errors.
AI-generated outputs do not constitute:
- medical advice;
- healthcare advice;
- legal advice;
- technical certification;
- regulatory approval;
- investment advice;
- procurement advice;
- professional consulting.
Users remain solely responsible for independently reviewing and verifying all AI-generated outputs associated with their listings or account activity.
Automated systems may affect:
- listing visibility;
- moderation outcomes;
- search rankings;
- categorization;
- account restrictions;
- spam detection;
- recommendation placement.
The Platform does not guarantee that automated systems will operate without interruptions, inaccuracies, or inconsistent outcomes.
10. Fees, Taxes & Financial Compliance
User subscriptions, promotional services, visibility tools, badges, and paid features are governed by the Subscription & Payment Terms.
User remain solely responsible for:
- payment obligations;
- VAT obligations;
- customs duties;
- import/export charges;
- banking fees;
- withholding taxes;
- regulatory fees;
- financial compliance obligations;
- compliance with anti-money-laundering laws and financial-crime regulations.
Users may not use the Platform in connection with unlawful financing activity, proceeds of crime, fraudulent transactions, money laundering activity, sanctions evasion, or other unlawful financial conduct. Failure to pay applicable fees may result in suspension or termination of access to paid functionality.
11. Regulatory Cooperation & Investigations
The Platform may cooperate with regulators, healthcare authorities, customs authorities, tax authorities, courts, law-enforcement authorities, governmental agencies, or regulatory bodies where reasonably necessary to:
- comply with applicable law;
- respond to government requests;
- investigate unlawful conduct;
- address healthcare-related concerns;
- address customs or import/export issues;
- protect Platform integrity;
- protect users;
- enforce Platform policies.
The Platform may report suspected unlawful conduct, healthcare violations, fraud risks, sanctions concerns, customs violations, intellectual-property violations, or regulatory concerns to appropriate authorities without prior notice where reasonably necessary under applicable law or regulatory obligations.
The Platform may temporarily freeze listings, suspend visibility, pause promotional functionality, restrict communications, disable accounts, or limit operational functionality while investigations, moderation reviews, healthcare compliance reviews, fraud investigations, legal reviews, or regulatory inquiries are ongoing.
Temporary restrictions may remain in effect for the duration reasonably necessary to complete operational, legal, regulatory, healthcare, security, or investigative review processes.
Medsahra is legally obligated to cooperate with the UAE Media Council, EDE, and MOHAP. You expressly authorize Medsahra to disclose your identity, contact details, Trade License, and listing history to these authorities upon their formal request, without requiring a court order, to ensure the safety of the UAE healthcare market.
12. Transaction Risk Allocation
Users remain solely responsible for:
- buyers;
- counterparties;
- negotiations;
- contracts;
- deliveries;
- customs clearance;
- import/export compliance;
- product condition;
- warranties;
- payment collection;
- fraud risks;
- healthcare compliance;
- regulatory compliance;
- transaction disputes;
- business risks.
The Platform assumes no responsibility for transaction failures, payment defaults, failed negotiations, delivery failures, customs delays, healthcare disputes, regulatory enforcement actions, commercial disputes, or losses arising from transactions between users.
13. User Indemnification
To the maximum extent permitted by applicable law, Users agree to defend, indemnify, and hold harmless the Platform, its affiliates, directors, officers, employees, contractors, licensors, service providers, and representatives from and against any claims, liabilities, losses, damages, investigations, fines, penalties, judgments, costs, or expenses arising from or relating to:
- User Content;
- listings;
- healthcare claims;
- regulatory violations;
- customs violations;
- import/export violations;
- sanctions violations;
- infringement claims;
- deceptive practices;
- fraudulent conduct;
- transactions between users;
- disputes with buyers;
- breach of these User Terms;
- violation of applicable law.
Should Medsahra be fined by any UAE authority (including the Media Council or EDE) due to a User’s failure to provide a valid permit or for making unauthorized medical claims, the User shall be liable to Medsahra for the full amount of the fine plus an administrative handling fee of 15%.
14. Disclaimers & Limitation Principles
All Platform services, promotional systems, visibility tools, badges, AI-generated outputs, support services, messaging systems, and operational functionality are provided on an “as available” and “as is” basis to the maximum extent permitted by applicable law.
The Platform does not guarantee uninterrupted availability, listing performance, transaction success, commercial outcomes, visibility consistency, buyer engagement, data preservation, uninterrupted communications, regulatory compliance of users, healthcare suitability, or operational continuity.
The Platform is not responsible for:
- disputes between users;
- failed negotiations;
- delivery failures;
- customs delays;
- payment defaults;
- business disputes;
- healthcare disputes;
- regulatory enforcement against users;
- data loss;
- deletion of records;
- interruption of communications;
- third-party service interruptions;
- reliance on badges, rankings, AI-generated outputs, or promotional systems.
Nothing in these User Terms limits liability that cannot lawfully be excluded under applicable law, including liability arising from fraud, willful misconduct, or gross negligence where such limitation is prohibited by law.
15. Suspension, Restriction & Termination
The Platform may suspend, restrict, limit, terminate, de-prioritize, or remove User access, listings, badges, communications, visibility, subscriptions, promotional services, or operational functionality at any time where reasonably necessary for:
- legal compliance;
- healthcare compliance review;
- fraud prevention;
- operational integrity;
- security concerns;
- regulatory cooperation;
- sanctions compliance;
- intellectual-property enforcement;
- policy enforcement;
- suspected misconduct;
- payment failures;
- abusive activity.
Termination or suspension may occur with or without prior notice where reasonably necessary under the circumstances.
The Platform is not obligated to continue supporting categories, business lines, visibility systems, promotional systems, operational functionality, or marketplace segments indefinitely.
16. Electronic Communications & Records
Users acknowledge and agree that electronic communications, click-wrap agreements, electronic records, digital notices, electronic disclosures, digital invoices, account notifications, and electronic acceptances may satisfy legal communication, signature, notice, and recordkeeping requirements under applicable law.
The Platform may communicate with Users electronically through email, messaging systems, account notifications, website notices, or other digital communication methods.
17. Survival
Any provisions of these User Terms that by their nature should survive suspension or termination shall survive, including provisions relating to:
- indemnification;
- intellectual property;
- dispute-related obligations;
- regulatory cooperation;
- record preservation;
- payment obligations;
- disclaimers;
- liability limitations;
- investigation rights;
- confidentiality obligations.
18. Conflict & Precedence
In the event of any conflict between these User Terms and other Platform legal documents, the order of precedence shall be:
- Terms of Use;
- Subscription & Payment Terms;
- these User Terms;
- Product Features & Service Definitions.
These User Terms supplement and do not replace the Platform Terms of Use or applicable law.
